The End User License Agreement ("Agreement") is a legal agreement between you ("you" or "your") and EAM, a video game development company that provides online services including its video game(s) ("Game") and any other products, services or features offered in connection with the Game (collectively, the "EAM Services"). This Agreement outlines the terms and conditions that you must abide by in order to access or use any of EAM's services.

By accessing or using any EAM Services, you are agreeing to be bound by this Agreement. This means that you must comply with all of the terms and conditions set forth in this Agreement while using any EAM Services. If you do not agree with any of the terms or conditions outlined in this Agreement, you should not access or use any EAM Services. [label name="LICENSE" /]

It is important to note that this Agreement governs all EAM Services, including the Game and any related products, services, or features. This means that any use of the Game or any related EAM Services is subject to this Agreement, regardless of the specific product, service or feature being used.

1. LICENSE

The license granted to you by EAM is limited and non-exclusive, meaning that it is solely for your personal use and cannot be sublicensed, sold, or transferred to any third party. This license is also revocable, meaning that EAM may terminate it at any time if you violate any of the terms of this Agreement.

Your use of the Game and any related EAM Services is also subject to your continuing compliance with this Agreement. This means that if you fail to comply with any of the terms of this Agreement, EAM may terminate your license to use the Game and any related EAM Services. [label name="ACCOUNTS" /]

It is important to note that this license is granted solely for your use of the Game and any related EAM Services, and does not give you any ownership rights in the Game or any related EAM Services.

1. ACCOUNTS

To use some of EAM's services, including the Game and any related products, services or features, you may need to create an account. When creating an account, you will be required to provide certain personal information, which includes but is not limited to: your name, email address, and payment information. You are solely responsible for the accuracy of this information and for maintaining the confidentiality of your account login information.

You are also responsible for all activities that occur under your account, whether or not authorized by you. This means that you must take reasonable precautions to protect your account information and prevent unauthorized access to your account. If you believe that your account has been compromised, you should notify EAM immediately.

EAM reserves the right to suspend or terminate your account if you violate any provision of this Agreement, or for any other reason at its sole discretion. This means that EAM may suspend or terminate your account if it determines that you have violated any of the terms and conditions set forth in this Agreement, or if it believes that your account is being used for fraudulent or abusive purposes.[label name="USER CONTENT" /]

It is important to note that EAM may also suspend or terminate your account if it determines that you have violated any applicable laws or regulations, or if it believes that your account is being used to infringe upon the rights of any third party. EAM reserves the right to take any other legal action that it deems necessary to protect its rights or the rights of any third party.

1. USER CONTENT

As a user of the EAM Services, you acknowledge and agree that you are solely responsible for any content that you upload, post, or otherwise transmit through the EAM Services ("User Content"). This includes any messages, text, images, videos, or other materials that you may provide.

By providing User Content, you warrant that you own all necessary rights to such content and that the use of such content does not violate any applicable laws, rules, or regulations, or infringe upon the rights of any third party. You understand that EAM does not monitor or control User Content and that it is not responsible for the accuracy, completeness, or usefulness of any User Content.

You agree that you will not post any User Content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable. This includes, but is not limited to, any content that infringes upon the intellectual property rights of others, encourages illegal activity, or contains viruses, malware, or other harmful code.

EAM reserves the right to remove any User Content that violates this Agreement or for any other reason at its sole discretion. This means that EAM may remove any User Content that it determines, in its sole discretion, to be in violation of this Agreement or that it believes to be harmful, objectionable, or otherwise inappropriate.

EAM does not claim ownership of any User Content that you may provide. However, by providing User Content, you grant EAM a worldwide, royalty-free, non-exclusive license to use, reproduce, modify, adapt, publish, translate, distribute, perform, and display such content in connection with the EAM Services.[label name="CONDUCT" /]

You understand that you are solely responsible for any User Content that you provide and that EAM is not responsible for any loss or damage that may result from such User Content. You further agree to indemnify and hold harmless EAM and its affiliates, employees, and agents from any and all claims, damages, and expenses (including reasonable attorneys' fees) arising out of or in connection with your User Content or your use of the EAM Services.

1. CONDUCT

By accessing or using any EAM Services, you agree to use them only for lawful purposes and in accordance with this Agreement. You agree not to engage in any conduct that restricts or inhibits anyone's use or enjoyment of the EAM Services or that may harm EAM or users of the EAM Services or expose them to liability.

Specifically, you agree not to:

• Use the EAM Services in any way that violates any applicable federal, state, local, or international law or regulation.
• Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the EAM Services, or which, as determined by EAM, may harm EAM or users of the EAM Services or expose them to liability.
• Use the EAM Services in any manner that could disable, overburden, damage, or impair the site or interfere with any other party's use of the EAM Services.
• Use any robot, spider, or other automatic device, process, or means to access the EAM Services for any purpose, including monitoring or copying any of the material on the EAM Services.
• Use any manual process to monitor or copy any of the material on the EAM Services or for any other unauthorized purpose without EAM's prior written consent.
• Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.

• Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the EAM Services, the server on which the EAM Services are stored, or any server, computer, or database connected to the EAM Services.
• Attack the EAM Services via a denial-of-service attack or a distributed denial-of-service attack.

EAM reserves the right to suspend or terminate your account or access to the EAM Services if you violate any provision of this Agreement or engage in any conduct that EAM deems inappropriate.

1. INTELLECTUAL PROPERTY

The EAM Services and all content, features, and functionality thereof, including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof, are owned by EAM or its licensors, and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on the EAM Services, except as follows:

• Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials.
• You may store files that are automatically cached by your web browser for display enhancement purposes.
• You may print or download one copy of a reasonable number of pages of the EAM Services for your own personal, non-commercial use and not for further reproduction, publication, or distribution.

If we provide desktop, mobile, or other applications for download, you may download a single copy to your computer or mobile device solely for your own personal, non-commercial use, provided you agree to be bound by any applicable end user license agreement for such applications.

If we provide social media features with certain content, you may take such actions as are enabled by such features.

You must not:

• Modify copies of any materials from the EAM Services.
• Use any illustrations, photographs, video or audio sequences, or any graphics separately from the accompanying text.
• Delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from the EAM Services.
• Access or use for any commercial purposes any part of the EAM Services or any services or materials available through the EAM Services.

If you print, copy, modify, download, or otherwise use[label name="TERM AND TERMINATION" /] or provide any other person with access to any part of the EAM Services in breach of the Agreement, your right to use the EAM Services will stop immediately and you must, at EAM's option, return or destroy any copies of the materials you have made. Any unauthorized use may also violate applicable laws, including without limitation copyright and trademark laws and applicable communications regulations and statutes.

1. TERM AND TERMINATION

The Agreement will remain in effect as long as you continue to use the EAM Services. However, EAM reserves the right to terminate or suspend your access to all or part of the EAM Services at any time, with or without cause, and with or without prior notice, effective immediately.[label name="DISCLAIMER OF WARRANTIES" /]

If your access to the EAM Services is terminated or suspended, your right to use the EAM Services will be immediately terminated. EAM may, without any liability to you or any third party, immediately deactivate or delete your account, user name, password, and any associated materials.

1. DISCLAIMER OF WARRANTIES

EAM Services, including the Game and any related products, services, or features, are provided "as is," without any express or implied warranties. This means that EAM is not making any guarantees or promises about the quality, performance, or suitability of the EAM Services for any particular purpose.

EAM is disclaiming all warranties, including any implied warranties of merchantability, fitness for a particular purpose, noninfringement, and warranties arising from course of dealing or course of performance. This means that EAM is not responsible for any defects, errors, or problems that may arise in connection with the EAM Services, and that users of the EAM Services assume all risks associated with using them.[label name="LIMITATION OF LIABILITY" /]

By agreeing to the Terms of Service, users acknowledge that EAM is not responsible for any losses, damages, or injuries that may result from using the EAM Services. This includes any indirect, incidental, or consequential damages, as well as any damages resulting from loss of use, data, or profits, even if EAM has been advised of the possibility of such damages.

1. LIMITATION OF LIABILITY

IN NO EVENT WILL EAM, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE EAM SERVICES, INCLUDING ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL,[label name="INDEMNIFICATION" /] LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE. SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE LIMITATIONS AND EXCLUSIONS MAY NOT APPLY TO YOU TO THE EXTENT SUCH JURISDICTION'S LAW IS APPLICABLE TO THIS AGREEMENT.

1. INDEMNIFICATION

By accepting the terms of this Agreement you agree to indemnify, defend, and hold harmless EAM, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of this Agreement or your use [label name="GOVERNING LAW AND JURISDICTION" /]of the EAM Services. This means that if you use the EAM Services in a way that violates the terms of the agreement or if you use the EAM Services in a way that causes harm to others, you agree to compensate EAM and its affiliates for any resulting damages, losses, costs, or expenses, including attorneys' fees. In essence, you are taking responsibility for any actions you take while using the EAM Services and agreeing to hold EAM harmless from any resulting harm.

1. GOVERNING LAW AND JURISDICTION

All matters relating to the EAM Services and this Agreement, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of California without giving effect to any choice or conflict of law provision or rule (whether of the State of California or any other jurisdiction).

Additionally, any legal suit, action, or proceeding related to this Agreement or the EAM Services must be brought exclusively in the federal courts of the United States [label name="WAIVER AND SEVERABILITY" /]or the courts of the State of California, located in the City of Los Angeles and County of Los Angeles. However, EAM retains the right to bring legal proceedings against you in your country of residence or any other relevant country if you breach this Agreement. By accepting this Agreement, you waive any and all objections to the jurisdiction of such courts and to venue in such courts.

1. WAIVER AND SEVERABILITY

If EAM decides to waive a particular term or condition outlined in the agreement, it does not mean that EAM has waived any other term or condition, or that it cannot assert its rights or provisions at a later time. Essentially, EAM can choose to enforce any term or condition at any time, regardless of whether or not it has waived similar terms or conditions in the past.[label name="ENTIRE AGREEMENT" /]

If any part of the agreement is deemed invalid or unenforceable by a court or other legal authority, the rest of the agreement will remain in effect to the fullest extent possible. In other words, the invalid or unenforceable provision will be removed or limited so that the rest of the agreement can continue to be enforced. This is a common section in contracts that helps to ensure that if one part of the agreement is found to be invalid, it will not affect the validity of the rest of the agreement.

1. ENTIRE AGREEMENT

This Agreement, together with the EAM Privacy Policy, EULA and any additional documents that you agree to when using certain aspects of the EAM Services, form the complete and exclusive agreement between you and EAM. This means that any prior or contemporaneous agreements, both written and oral, that you may have had with EAM with regards to the EAM Services are superseded by this agreement.[label name="YOUR COMMENTS AND CONCERNS" /]

Both parties (you and EAM) understand the scope and terms of the Agreement, and that there are no other agreements, understandings or warranties, written or oral, that apply to the use of the EAM Services, apart from what is explicitly stated in this agreement and its appendixes.
